Terms of Service

These terms govern your use of our website and the engagement of our design and renovation services. Please read them carefully before proceeding.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of mirelabinteriors.com (the "Website") and the interior design, renovation, and project management services offered by Mirela B. Interiors ("we", "us", "our").

By accessing the Website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Website or our services. If you are entering into an agreement on behalf of a company, you represent that you have authority to bind that entity.

2. Definitions

"Client" refers to the individual or entity engaging our services.

"Services" refers to interior design consultation, renovation project management, material specification, and related services described on the Website.

"Project" refers to a specific renovation or design engagement governed by a separate written proposal or contract.

"Deliverables" refers to design documents, drawings, specifications, and other materials produced for a Project.

3. Use of the Website

You may use the Website for lawful purposes only. You agree not to:

  • Use the Website in any way that breaches applicable Spanish or EU law.
  • Attempt to gain unauthorized access to any part of the Website, its systems, or data.
  • Introduce viruses, malware, or any other malicious code.
  • Scrape, copy, or republish Website content without our prior written consent.
  • Submit false, misleading, or fraudulent information through our enquiry forms.
  • Use the Website to send unsolicited communications or advertising.

4. Engagement of Services

Any enquiry submitted through the Website is an expression of interest and does not constitute a binding contract. A formal engagement begins only when both parties sign a written proposal or contract that sets out the scope of work, timeline, fees, and payment terms.

Each Project is governed by its own agreement, which takes precedence over these Terms in the event of any conflict regarding Project-specific matters. These Terms continue to apply to your use of the Website and any general interactions with us.

5. Proposals and Quotations

All proposals and quotations issued by Mirela B. Interiors are valid for thirty (30) days from the date of issue unless stated otherwise. Pricing is based on the scope, materials, and conditions known at the time of quoting. Changes to scope, unforeseen structural conditions, or material price fluctuations may result in revised pricing, which will be communicated and agreed in writing before work proceeds.

6. Fees and Payment

Project fees, payment milestones, and accepted methods are set out in the individual Project agreement. Unless otherwise agreed in writing:

  • Invoices are due within seven (7) days of issue.
  • Late payments may incur interest at the statutory rate under Spanish Law 3/2004 on late payment in commercial transactions.
  • We reserve the right to suspend work on a Project while any invoice is overdue.
  • Deposits paid to secure a Project slot or commence work are non-refundable once materials have been ordered or contractor time booked.

7. Client Responsibilities

To enable us to deliver the Services effectively, the Client agrees to:

  • Provide accurate property information, access, and permissions as reasonably required.
  • Make timely decisions on design, materials, and approvals to avoid delays.
  • Notify us promptly of any change to contact details, property ownership, or project scope.
  • Ensure the property is safe and accessible for site visits and contractor work.
  • Obtain any permits or community approvals that fall under the Client’s responsibility, unless explicitly assumed by us in the Project agreement.

8. Intellectual Property

All Deliverables produced by Mirela B. Interiors — including design concepts, drawings, specifications, and written content — remain our intellectual property until full payment has been received. Upon full payment, the Client receives a non-exclusive licence to use the Deliverables for the specific Project for which they were created.

You may not reproduce, modify, or distribute Deliverables for any other project or purpose without our prior written consent. We retain the right to display and reference completed Projects in our portfolio, journal, and marketing materials unless the Client has agreed otherwise in writing.

9. Website Content

All content on the Website, including text, images, layouts, logos, and design elements, is the property of Mirela B. Interiors or its licensors and is protected by Spanish and international intellectual property law. You may view and download content for personal, non-commercial use only. No part of the Website may be reproduced or exploited for commercial purposes without our written permission.

10. Third-Party Contractors and Suppliers

As part of project management, we coordinate with third-party contractors, tradespeople, and suppliers. While we select these partners with care and act in the Client’s best interest, we are not liable for the independent acts or omissions of third parties. Each contractor remains responsible for their own workmanship, warranties, and compliance with applicable regulations.

Where a third party provides a direct warranty or guarantee to the Client, the Client should pursue any claim under that warranty directly with the third party. We will reasonably assist in facilitating such claims.

11. Warranties and Disclaimers

We warrant that our Services will be performed with reasonable skill and care consistent with industry standards in the Costa del Sol renovation market. Except for this express warranty, all Services and Deliverables are provided "as is" and without any additional warranty, whether express or implied.

We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that any defect will be corrected. To the fullest extent permitted by law, we exclude all liability for loss or damage arising from reliance on Website content or from circumstances beyond our reasonable control.

12. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded under Spanish or EU law, including liability for death or personal injury caused by negligence or fraudulent misrepresentation.

Subject to the above, our total aggregate liability arising out of or relating to the Website or a Project shall not exceed the total fees paid by the Client to Mirela B. Interiors for that Project. We shall not be liable for indirect, incidental, consequential, or loss-of-profit damages.

13. Termination

Either party may terminate a Project agreement in accordance with the termination clause set out in that agreement. In addition, we may suspend or terminate access to the Website immediately, without notice, if you breach these Terms or engage in any conduct that we reasonably consider harmful to us or other users.

Upon termination of a Project, the Client remains responsible for payment of all fees accrued up to the termination date and for any non-cancellable commitments made on the Client’s behalf.

14. Force Majeure

We shall not be liable for any delay or failure to perform our obligations where the cause is beyond our reasonable control, including but not limited to natural disasters, extreme weather, fire, flood, pandemic, labour disputes, government action, supply chain disruption, or failure of utilities. Where such an event occurs, we will notify the Client promptly and resume performance as soon as reasonably practicable.

15. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them or the Website shall be governed by the laws of Spain. The parties submit to the exclusive jurisdiction of the courts of Málaga, Spain, except where mandatory consumer law provides otherwise.

16. Changes to These Terms

We may update these Terms from time to time. The "last updated" date at the bottom of this page indicates when the Terms were last revised. Continued use of the Website after changes are posted constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
